Our clientele are generally entrepreneurs, their companies, middle sized private companies and newer public companies. We also represent individuals with private matters, such as residential real estate purchases.
Over the years we have developed a role as outside general counsel and attorneys to many of our clients, which gives them full scale representation on an as needed basis, and allows them to free up capital, as they do not have carry a full time in-house legal staff or be on a retainer with the larger firms.

In 2013, we were retained to represent Kristina ("Kicki") Armstrong, in a legal malpractice action against her former matrimonial firm, Blank Rome, LLP and the lawyers who mishandled her case. Ms. Armstrong had hired Blank Rome to represent her in her divorce from her former husband, who was arguably the No. 3 person at the financial powerhouse, Morgan Stanley.
Pray Automobile Corporation, Greenwich, Ct - - Represented seller of what was arguably the most significant parcels of commercial property comprising two sides of West Putnam Avenue (the Post Road) in Greenwich. The sales price for the real estate was $21,000,000. Because of its use as an automobile dealership/repair facility, the deal involved complex and sophisticated environmental, structural and zoning issues.
In the past few years, we have counseled clients who were investing in both private companies and public companies who were privately offering both debt and equity. We conducted extensive due diligence, reviewed and reformed the offering documents, revised the securities instruments and generally counseled our clients with respect to protecting their investments given the nature of the offering.
Asset Sale of Pray Automobile Corporation to New Country Motors - - In 1999 we acted as seller's counsel for Pray Automobile Corporation, which was the largest private employer in Greenwich, CT approx. 250 employees in the sale of substantially all of its assets to New Country Motors. Pray was the world's largest Audi dealer and one of the oldest and largest Volkswagen and Porsche dealers in the country.
