In Texas, a legal malpractice action is based on negligence. Lawyers are held to the standard of care of a reasonably prudent attorney. A lawyer is negligent if he fails to act as an attorney of ordinary care would have acted under the same or similar circumstances. On the other hand, a lawyer who makes a reasonable decision in the handling of a case may not be held liable if the decision later proves to be imperfect.
A lot of confusion exists regarding retainers. In fact, many lawyers don't even understand the difference between a true retainer and a pre-payment for services. Represented a tenant in a lawsuit involving the breach of a commercial lease agreement. After a new owner purchased the property, the new owner/landlord wrongfully attempted to terminate the lease and evict the tenant, which caused the tenant to sustain damages, including lost profits from its business.
