The solution below will safely increase your revenue, avoid legal risks, protect your client-accountant relationship. I really would like to SAFELY increase the revenue from my typical small business entity clients. And CPAs keep trying them because the idea of doing just a little legal paperwork to double your revenue sounds nice.
Should you manage the process and the paperwork yourself or should you refer your clients to an attorney? You have to check for name availability, reserve the name with the Secretary of State, prepare and file the Articles of Incorporation, and write a check for the filing fee, and on and on.
I think you absolutely have to be nuts, a real danger chaser, if you're a California CPA, and you're in the practice of helping your clients form business entities such as corporations and limited liability companies. The plaintiff, or the person bringing the lawsuit, was trying to pierce his corporate veil.

I own a private therapy practice here in Orange County, and I hired the Law Office of Gale & Vallance (Incorporation Attorney) to help me set up my LCSW corporation. Both Andy (the attorney) and his support staff (especially Lois) were incredibly responsive, professional, and efficient with setting up my corporation and answering all of my questions along the way.
