Our firm began in 1974 when our Founding Attorney, David Williams, opened his first office. Services
The fiduciary duty is the highest standard of care at courts of equity or law. And interestingly, with roots in the 16th century, the word "fiduciary" comes from the Latin fiducia meaning "trust." Through our business litigation practice, national businesses have worked with us directly or through their local attorneys from other states who want to practice before Delaware courts.
As a stockholder in a Delaware corporation or a member in a Delaware LLC, you have statutory rights to know what is going on financially with respect to the company in which you own an interest. For corporations, this right is contained in Section 220 of the Delaware General Corporation Law. For LLCs, this right is contained in Section 18-305 of the Delaware LLC Act, which can be expanded or reduced by agreement.
When businesses anywhere in the world enter into legally binding agreements, they often opt into Delaware law by including choice of law and choice of forum provisions in their contracts. This subjects the parties to the personal jurisdiction of Delaware. Each party is expected to uphold its end of the agreement, and in exchange, each party has the right to expect the other party to do the same.

I have been very happy with the relationship I have developed with John at the Williams Law Firm. I am involved in business ventures that require a lot of LLC entities to be created, that are mostly the same, but some a bit different. I worked with John to get our standard template in order, and now, he and his team can create new entities that meet our needs based of just a quick email saying what deviations we need form the template.
